These Terms of Service (" Terms") govern your access to and use of the Movialy software-as-a-service platform, including the website at movialy.com, the application at movialy.app, and any related applications, APIs, and services (together, the " Service").

The Service is provided by Red Friend Co., Ltd., a company registered in Thailand under registration number regnum, with its registered office at address (" Movialy", " we", " us", or " our"). "Movialy" is a trading name and brand of Red Friend Co., Ltd..

By creating an account, subscribing to a plan, or otherwise using the Service, you (" you", the " Customer") agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" and "Customer" refer to that entity.

If you do not agree to these Terms, do not use the Service.


1. Definitions

  • "Account" — the company account created for the Customer, isolated from other customers (multi-tenant architecture).
  • "Authorized User" — any individual the Customer authorizes to use the Service under its Account (e.g. owner, manager, staff, accountant, maintenance roles).
  • "Customer Data" — all data, content, files, photos, documents, and information that the Customer or its Authorized Users submit to or generate within the Service, including data relating to the Customer's own clients (renters), vehicles, bookings, and finances.
  • "Renter Data" — personal data of the Customer's clients (the individuals or entities who rent vehicles from the Customer) that the Customer enters into the Service.
  • "Subscription" — the paid plan selected by the Customer, billed on a recurring basis.
  • "Free Plan" — the no-cost tier of the Service, subject to the limits described in Section 4.

2. The Service

Movialy is a fleet and booking management platform for professional vehicle rental operators. It is delivered as a web application and a Progressive Web App (PWA) accessible on mobile and desktop devices. The Service includes, among other features, vehicle and fleet management, booking management, check-in and check-out workflows with photo and meter capture, financial tracking, maintenance scheduling, reporting, and optional artificial-intelligence-assisted features.

We may modify, enhance, or discontinue features of the Service at any time. We will use reasonable efforts to notify the Customer of material adverse changes.


3. Eligibility and Account Registration

3.1 The Service is intended for use by businesses and professionals. It is not intended for consumers acting outside their trade or profession, and it is not intended for individuals under the age of 18.

3.2 To use the Service, you must register an Account by providing accurate and complete information, including company name, the name of the responsible person, email, phone number, address, and country. You must keep this information up to date.

3.3 Upon registration, the Account creator is designated as the owner and super-administrator of the Account, with the ability to invite Authorized Users and configure their roles and permissions.

3.4 You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account. You must notify us promptly of any unauthorized use of your Account. Authentication is performed by email and password, with session expiry and password-reset functionality.

3.5 You are responsible for the acts and omissions of your Authorized Users as if they were your own.


4. Subscriptions, Plans, and the Free Plan

4.1 Free Plan. The Service is available free of charge for Accounts managing up to the number of vehicles stated for the Free Plan on our pricing page. The Free Plan requires no payment card and is not a time-limited trial.

4.2 Paid Plans. Beyond the Free Plan limit, the Customer must subscribe to a paid plan ("Pro" or equivalent), billed on the basis (for example per vehicle, and/or monthly or annual) and at the prices published on our pricing page at the time of subscription. Current prices and plan details are set out at https://movialy.com/en/tarifs.

4.3 Vehicle count and proration. Where pricing is based on the number of vehicles, adding or removing vehicles during a billing cycle may change the amount due. Increases are billed on a prorated basis; decreases take effect at the next renewal. The full proration mechanics are described in the Refund & Cancellation Policy.

4.4 Taxes. Stated prices are exclusive of applicable taxes (including VAT and any local taxes). The Customer is responsible for any taxes, duties, or levies imposed on the Subscription other than taxes based on our net income.

4.5 Auto-renewal. Subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date, as described in the Refund & Cancellation Policy.


5. Payment

5.1 Payments are processed by third-party payment gateways, including Omise (Opn Payments) for transactions settled locally and Paddle for international transactions. By subscribing, you authorize us (or our payment processor acting on our behalf) to charge your chosen payment method for all amounts due.

5.2 The merchant of record for locally processed transactions is Red Friend Co., Ltd.. The descriptor appearing on your statement will be 'MOVIALY' (or 'RED FRIEND'). Where an international payment processor acts as merchant of record, that processor will appear as the seller on the relevant invoice.

5.3 If a payment fails or is declined, we may retry the charge and may suspend or restrict access to paid features until payment is received. See the Refund & Cancellation Policy for details.

5.4 All fees are non-refundable except as expressly stated in the Refund & Cancellation Policy or as required by applicable law.


6. Acceptable Use

You agree not to, and not to permit any Authorized User or third party to:

(a) use the Service in violation of any applicable law or regulation; (b) upload, store, or process any data in the Service unlawfully, including personal data for which you do not have a valid legal basis; (c) reverse-engineer, decompile, or attempt to extract the source code of the Service, except to the extent permitted by mandatory law; (d) access the Service to build a competing product, or copy its features or design; (e) interfere with or disrupt the integrity or performance of the Service, or attempt to gain unauthorized access to it or to other customers' Accounts; (f) use the Service to transmit malware, or to send unsolicited or unlawful communications; (g) resell, sublicense, or make the Service available to any third party other than your Authorized Users, except as expressly permitted.

We may suspend access to investigate suspected violations of this Section.


7. Customer Data and Customer Responsibilities

7.1 Ownership. As between you and us, you retain all rights, title, and interest in and to Customer Data. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, and display Customer Data solely to provide and maintain the Service, to provide support, and to improve the Service in accordance with our Privacy Policy.

7.2 Renter Data and data-protection roles. With respect to Renter Data and other personal data of your own clients that you enter into the Service, you act as the data controller and we act as your data processor. You are solely responsible for: (i) having a valid legal basis to collect and process such data (including identity documents such as driver's licences, passports, and ID cards); (ii) obtaining any required consents from your renters; and (iii) providing required notices to them. Our processing of such data on your behalf is governed by the Data Processing Addendum, which forms part of these Terms.

7.3 Lawfulness. You represent and warrant that you have all rights and permissions necessary for us to process Customer Data as contemplated by these Terms, and that your use of the Service does not violate any third party's rights or any applicable law.

7.4 Backups. While we maintain reasonable measures to protect Customer Data, you are responsible for maintaining your own copies of critical data. Export functionality (including CSV export) is provided within the Service.


8. Artificial Intelligence Features

8.1 The Service includes optional AI-assisted features, including optical character recognition (OCR) of vehicle dashboards to read mileage and fuel level, vehicle suggestions, document classification, thumbnail generation, and automated translation of certain labels. These features are powered in part by the Lovable AI Gateway and may be enabled or disabled by the Customer in settings.

8.2 AI output is provided as an aid and may contain errors. You are responsible for reviewing and confirming all AI-generated or AI-extracted values (including mileage and fuel readings) before relying on them. We do not warrant the accuracy of any AI output and are not liable for decisions made in reliance on it.

8.3 Where you enable AI scanning, certain images (for example dashboard photos) may be retained to improve model accuracy, as described in the Privacy Policy. You may disable these features at any time.


9. Third-Party Integrations

9.1 The Service may allow you to connect third-party services, including third-party GPS tracking services (this feature is under development) and ClickUp for support workflows. Where you provide credentials for a third-party service, you authorize us to use them solely to provide the connected functionality. Such credentials are not stored by default within the application.

9.2 Third-party services are governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, security, or practices of any third-party service, and your use of them is at your own risk.


10. Intellectual Property

10.1 The Service, including all software, source code, design, user interface, "Movialy" name, logo, and all related intellectual property, is and remains the exclusive property of Red Friend Co., Ltd. and its licensors. Nothing in these Terms transfers any such rights to you.

10.2 We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during the term of your Account, solely for your internal business purposes and subject to these Terms.

10.3 If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free right to use them without restriction or obligation to you.


11. Demonstration Environment

11.1 The Service may offer a demonstration environment with pre-filled sample data, intended for evaluation. Data entered in the demonstration environment is transient and is deleted automatically on a daily reset. You must not store any real or confidential data in the demonstration environment. We are not liable for the loss of any data entered there.


12. Service Availability and Maintenance

12.1 We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. The Service may be unavailable during planned or emergency maintenance, or due to factors beyond our control.

12.2 The Service is a Progressive Web App and provides partial offline functionality with later synchronization; full functionality requires a network connection.

12.3 No specific service level (uptime) is guaranteed unless agreed in a separate written agreement.


13. Disclaimers

13.1 EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13.2 We do not warrant that the Service will meet your requirements, that financial calculations or AI outputs will be error-free, or that any defects will be corrected.


14. Limitation of Liability

14.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE.

14.2 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED the total amounts paid by the Customer to us in the twelve (12) months preceding the event giving rise to the claim; where no fees have been paid in that period, our total aggregate liability shall not exceed USD 100 (or its equivalent in the applicable billing currency).

14.3 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.


15. Indemnification

You will defend, indemnify, and hold harmless Red Friend Co., Ltd. from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of (i) your Customer Data, (ii) your use of the Service in breach of these Terms or applicable law, or (iii) your failure to obtain a valid legal basis or consents for the processing of Renter Data.


16. Suspension and Termination

16.1 You may cancel your Subscription at any time as described in the Refund & Cancellation Policy. Cancellation stops future renewals; it does not entitle you to a refund of fees already paid except as stated there.

16.2 We may suspend or terminate your Account, in whole or in part, if (a) you fail to pay amounts due, (b) you materially breach these Terms, or (c) we are required to do so by law or by a payment network or processor.

16.3 Upon termination, your right to access the Service ceases. We will make Customer Data available for export for a period of thirty (30) days after termination, after which we may delete it, subject to retention obligations described in the Privacy Policy and Data Processing Addendum.


17. Changes to These Terms and to the Service

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service before they take effect. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.


18. Governing Law and Disputes

18.1 These Terms are governed by the laws of Thailand, without regard to conflict-of-laws principles.

18.2 Any dispute arising out of or relating to these Terms will be subject to the exclusive jurisdiction of the courts of Chonburi, Thailand, except where mandatory consumer-protection law provides otherwise.


19. General

19.1 Entire agreement. These Terms, together with the Privacy Policy, Cookie Policy, Refund & Cancellation Policy, and Data Processing Addendum, constitute the entire agreement between you and us regarding the Service.

19.2 Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.

19.3 Severability. If any provision is held unenforceable, the remaining provisions remain in full force.

19.4 Force majeure. Neither party is liable for delay or failure to perform due to causes beyond its reasonable control.

19.5 Language. These Terms may be provided in multiple languages for convenience. In the event of conflict, the English version prevails.

19.6 No waiver. Failure to enforce any provision is not a waiver of the right to enforce it later.
