Movialy — Terms of Service

Last updated: 24 September 2026

These Terms of Service ("Terms") govern your access to and use of the Movialy software-as-a-service platform, including the website at movialy.com, the application at movialy.app, the optional public booking websites hosted under movialy.app, and any related applications, APIs, and services (together, the "Service").

The Service is provided by Red Friend Co., Ltd., a company registered in Thailand under registration number 0205569002004, with its registered office at 424/93 M.10 Nongpure, Banglamung, Chonburi 20150, Thailand ("Movialy", "we", "us", or "our"). "Movialy" is a trading name and brand of Red Friend Co., Ltd.

By creating an account, topping up a Wallet, purchasing Hardware, or otherwise using the Service, you ("you", the "Customer") agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" and "Customer" refer to that entity.

If you do not agree to these Terms, do not use the Service.

1. Definitions

  • "Account" — the company account created for the Customer, isolated from other customers.
  • "Authorized User" — any individual the Customer authorizes to use the Service under its Account (for example owner, manager, staff, accountant, or maintenance roles).
  • "Customer Data" — all data, content, files, photos, documents, and information that the Customer or its Authorized Users submit to or generate within the Service, including data relating to the Customer's own clients (renters), vehicles, bookings, and finances.
  • "Renter Data" — personal data of the Customer's clients (the individuals or entities who rent vehicles from the Customer) that is entered into the Service by the Customer, its Authorized Users, or the renters themselves through links or websites provided by the Customer.
  • "Wallet" — the prepaid credit balance attached to the Account, denominated in the currency of the Customer's Country Plan, from which usage charges and options are debited.
  • "Country Plan" — the pricing plan applicable to the Customer's country as published on our pricing page. Where no plan exists for the Customer's country, the International plan, denominated in US dollars (USD), applies.
  • "Billed Vehicle" — a vehicle that has had at least one check-in recorded in the Service during a given calendar month.
  • "Free Quota" — the number of Billed Vehicles per calendar month that is free of charge, as stated on our pricing page.
  • "Comfort Pack" — the optional feature bundle described in Section 4.5.
  • "Hardware" — physical devices sold by Movialy for use with the Service, such as the M92 mobile thermal printer.
  • "Public Booking Website" — the optional website the Customer may publish through the Service to present its vehicles and receive online booking requests from renters.

2. The Service

Movialy is a fleet and booking management platform for professional vehicle rental operators. It is delivered as a web application and a Progressive Web App (PWA) accessible on mobile and desktop devices. The Service includes, among other features, vehicle and fleet management, booking management, check-in and check-out workflows with photo and meter capture, financial tracking, maintenance scheduling, reporting, communication with renters, an optional Public Booking Website, and optional artificial-intelligence-assisted features.

Hardware is sold separately and is governed by Section 13 and the Refund & Cancellation Policy.

We may modify, enhance, or discontinue features of the Service at any time. We will use reasonable efforts to notify the Customer of material adverse changes.

3. Eligibility and Account Registration

3.1 The Service is intended for use by businesses and professionals. It is not intended for consumers acting outside their trade or profession, and it is not intended for individuals under the age of 18.

3.2 To use the Service, you must register an Account by providing accurate and complete information, including company name, the name of the responsible person, email, phone number, address, and country. You must keep this information up to date.

3.3 Upon registration, the Account creator is designated as the owner of the Account, with the ability to invite Authorized Users and configure their roles and permissions. Owners cannot grant access to accounts other than their own.

3.4 A small number of Movialy platform administrators can access any Account for the purposes of support, maintenance, security, and billing. Such access is restricted to Movialy personnel and is logged.

3.5 You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account. You must notify us promptly of any unauthorized use of your Account. Authentication is performed by email or username and password, with optional device-based sign-in (passkeys), session expiry, and password reset.

3.6 You are responsible for the acts and omissions of your Authorized Users as if they were your own.

4. Pricing, Free Quota, Wallet, and Comfort Pack

4.1 Free Quota. Each calendar month, the Service is free of charge for up to the number of Billed Vehicles stated as the Free Quota on our pricing page (https://movialy.com/en/tarifs). No payment card is required to use the Service within the Free Quota, and the Free Quota is not a time-limited trial.

4.2 Usage charges. Each Billed Vehicle beyond the Free Quota is charged once per calendar month, at the moment of its first check-in in that month, at the per-vehicle price of the Customer's Country Plan. A vehicle checked in several times during the same month is charged only once for that month. Usage charges are not prorated.

4.3 Wallet. Usage charges, Comfort Pack charges, and paid options are debited from the Wallet. The Customer tops up the Wallet in advance in accordance with Section 5. The Service displays the Wallet balance, the vehicles billed during the current month, and low-balance notifications.

4.4 Insufficient balance. If the Wallet balance does not cover the charge for an additional Billed Vehicle, the check-in of that vehicle cannot be completed in the Service until the Wallet is topped up. Check-ins of vehicles already billed during the current month, and all other features, remain available. The Customer is responsible for keeping a sufficient balance.

4.5 Comfort Pack. The Comfort Pack unlocks sending emails to renters from the Service, the rental contract module, extended retention of check-in and check-out photos (Section 7.5), and unlimited retention of vehicle reference photos.

  • While the number of Billed Vehicles of the month stays within the Free Quota, the Comfort Pack features are included at no charge.
  • Beyond the Free Quota, the Comfort Pack must be subscribed to remain available. It is charged per Billed Vehicle per month at the Comfort Pack price of the Customer's Country Plan, debited from the Wallet.
  • If the Customer cancels the Comfort Pack, it remains active until the end of the current calendar month and is not charged afterwards.

4.6 Other options. The Service may offer other paid options, billed monthly, per use, or once, as described in the Service before subscription. A monthly option renews automatically each month and is paused if the Wallet balance is insufficient at renewal.

4.7 Country. The Customer's country determines the applicable Country Plan and the currency of the Wallet. Once billing activity has started on the Account (a top-up or a charge), the country can only be changed by Movialy support.

4.8 Price changes. We may change prices by publishing them on our pricing page with at least thirty (30) days' notice. Price changes do not affect amounts already debited.

4.9 Taxes. Red Friend Co., Ltd. is currently not registered for value added tax in Thailand, and our invoices state this. Prices do not include any tax that the Customer may be required to account for under the law of its own country (for example under a reverse-charge mechanism). The Customer is responsible for any such tax.

5. Payment and Wallet Top-ups

5.1 Payment processor. Wallet top-ups and Hardware purchases are processed by Omise (Opn Payments) by card, and in Thailand also by PromptPay QR. By making a payment, you authorize us, through our payment processor, to charge your chosen payment method for the amount confirmed at checkout. We may add other payment processors in the future.

5.2 Currency. Top-ups are expressed in the currency of the Wallet. Where that currency is not supported by our payment processor, the charge is processed in US dollars at the exchange rate displayed before payment. Any conversion or foreign transaction fees charged by the Customer's bank are borne by the Customer.

5.3 Merchant of record. The merchant of record is Red Friend Co., Ltd. The descriptor appearing on your statement will be 'MOVIALY' (or 'RED FRIEND'). An invoice and payment receipt is issued for each successful top-up and can be downloaded in the Service.

5.4 Crediting. A top-up is credited to the Wallet once the payment has been confirmed by the payment processor.

5.5 Promotional credits. We may grant promotional credits, such as bonuses on top-ups above certain amounts, an opening bonus on registration, or voucher codes. Promotional credits are added to the Wallet balance and used like any other credit, but they have no cash value, cannot be transferred, and are never refunded or exchanged for money.

5.6 Expiry of credit. Wallet credit expires twenty-four (24) months after the most recent top-up. Each new top-up restarts this period for the entire balance. Expired credit is forfeited and is not refunded.

5.7 Refunds. Wallet top-ups, usage charges, and Comfort Pack charges are non-refundable except as stated in the Refund & Cancellation Policy or as required by applicable law.

6. Acceptable Use

You agree not to, and not to permit any Authorized User or third party to:

(a) use the Service in violation of any applicable law or regulation; (b) upload, store, or process any data in the Service unlawfully, including personal data for which you do not have a valid legal basis; (c) reverse-engineer, decompile, or attempt to extract the source code of the Service, except to the extent permitted by mandatory law; (d) access the Service to build a competing product, or copy its features or design; (e) interfere with or disrupt the integrity or performance of the Service, or attempt to gain unauthorized access to it or to other customers' Accounts; (f) circumvent or attempt to circumvent billing, usage metering, permissions, or any other technical limitation of the Service; (g) use the Service or a Public Booking Website to transmit malware, or to send unsolicited or unlawful communications; (h) resell, sublicense, or make the Service available to any third party other than your Authorized Users, except as expressly permitted.

We may suspend access to investigate suspected violations of this Section.

7. Customer Data and Customer Responsibilities

7.1 Ownership. As between you and us, you retain all rights, title, and interest in and to Customer Data. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, and display Customer Data solely to provide and maintain the Service, to provide support, and to improve the Service in accordance with our Privacy Policy.

7.2 Renter Data and data-protection roles. With respect to Renter Data, you act as the data controller and we act as your data processor. You are solely responsible for: (i) having a valid legal basis to collect and process such data (including identity documents such as driver's licences, passports, and ID cards, and photographs); (ii) obtaining any required consents from your renters; and (iii) providing required notices to them, including on your Public Booking Website and in the links you send to renters. Our processing of such data on your behalf is governed by the Data Processing Addendum, which forms part of these Terms.

7.3 Lawfulness. You represent and warrant that you have all rights and permissions necessary for us to process Customer Data as contemplated by these Terms, and that your use of the Service does not violate any third party's rights or any applicable law.

7.4 Backups and export. While we maintain reasonable measures to protect Customer Data, you are responsible for maintaining your own copies of critical data. Export functionality (including CSV export) is provided within the Service.

7.5 Retention within the Service. To keep the Service efficient, certain data is automatically removed after the periods below. You must export anything you need to keep for longer.

  • Check-in and check-out photos: kept for at least 30 days after the end of the rental, or 365 days if the Comfort Pack was active when the check-out was recorded. Photos of a booking that is not closed are not removed automatically.
  • Vehicle reference photos: removed 180 days after the vehicle's last rental, unless the Comfort Pack is active.
  • Change history: history of bookings and financial lines is kept for 24 months; history of vehicles and clients is kept for 6 months.
  • Renter links: the personal portal link sent to a renter is deactivated a configurable number of days after the end of the rental (60 days by default, 120 days maximum).

8. Artificial Intelligence Features

8.1 The Service includes optional AI-assisted features, including optical character recognition (OCR) of vehicle dashboards to read mileage and fuel level, reading of identity and driving documents submitted for a booking, vehicle suggestions, document classification, image generation for vehicle thumbnails, and automated translation of certain texts. These features are provided using third-party AI providers listed in our Privacy Policy and may be enabled or disabled by the Customer in settings.

8.2 AI output is provided as an aid and may contain errors. You are responsible for reviewing and confirming all AI-generated or AI-extracted values (including mileage, fuel readings, and document data) before relying on them. We do not warrant the accuracy of any AI output and are not liable for decisions made in reliance on it.

8.3 Where you enable AI scanning, certain images may be retained to improve accuracy, as described in the Privacy Policy. You may disable these features at any time.

9. Third-Party Integrations

9.1 The Service may allow you to connect third-party services, including third-party GPS tracking platforms and ClickUp for support workflows. Where you enter credentials for a third-party service (for example a GPS platform login and password) in a vehicle record, they are stored with that vehicle record to enable quick access from the Service and are visible to your Authorized Users who can view that vehicle. You should use credentials with the lowest privileges your provider allows.

9.2 Third-party services are governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, security, or practices of any third-party service, and your use of them is at your own risk.

10. Intellectual Property

10.1 The Service, including all software, source code, design, user interface, the "Movialy" name and logo, and all related intellectual property, is and remains the exclusive property of Red Friend Co., Ltd. and its licensors. Nothing in these Terms transfers any such rights to you.

10.2 We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during the term of your Account, solely for your internal business purposes and subject to these Terms.

10.3 If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free right to use them without restriction or obligation to you.

11. Demonstration Environment

11.1 The Service offers a demonstration environment with pre-filled sample data, accessible with publicly displayed demonstration credentials. Data entered in the demonstration environment is transient and is deleted automatically on a daily reset. You must not enter any real or confidential data in the demonstration environment. We are not liable for the loss of any data entered there.

12. Public Booking Website

12.1 The Customer may publish a Public Booking Website through the Service, at an address under movialy.app chosen by the Customer. The Customer is the publisher of that website and is solely responsible for its content, its prices, its rental terms, the information it gives to renters, and the processing of Renter Data collected through it.

12.2 Where online payment on the Public Booking Website is enabled by Movialy for the Customer, payments are made to the Customer under the conditions displayed on that website.

12.3 We may suspend a Public Booking Website that is unlawful, misleading, or in breach of these Terms.

13. Hardware

13.1 Hardware is sold at the price displayed in the Service before purchase, including shipping. It is charged in Thai baht through our payment processor.

13.2 Hardware is shipped to the address provided by the Customer. Delivery times are estimates. Risk of loss passes to the Customer on delivery.

13.3 Returns, defective items, and warranty are governed by the Refund & Cancellation Policy.

14. Service Availability and Maintenance

14.1 We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. The Service may be unavailable during planned or emergency maintenance, or due to factors beyond our control.

14.2 The Service is a Progressive Web App and provides partial offline functionality with later synchronization. Full functionality, including Wallet checks at check-in, requires a network connection.

14.3 No specific service level (uptime) is guaranteed unless agreed in a separate written agreement.

15. Disclaimers

15.1 EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE AND HARDWARE ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, EXCEPT FOR THE HARDWARE WARRANTY STATED IN THE REFUND & CANCELLATION POLICY.

15.2 We do not warrant that the Service will meet your requirements, that financial calculations or AI outputs will be error-free, or that any defects will be corrected.

16. Limitation of Liability

16.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE.

16.2 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED the total amounts paid by the Customer to us in the twelve (12) months preceding the event giving rise to the claim; where no amounts have been paid in that period, our total aggregate liability shall not exceed USD 100 (or its equivalent in the currency of the Wallet).

16.3 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

17. Indemnification

You will defend, indemnify, and hold harmless Red Friend Co., Ltd. from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of (i) your Customer Data, (ii) your Public Booking Website, (iii) your use of the Service in breach of these Terms or applicable law, or (iv) your failure to obtain a valid legal basis or consents for the processing of Renter Data.

18. Suspension and Termination

18.1 You may stop using the Service and close your Account at any time by contacting us. Closing the Account does not entitle you to a refund of Wallet credit except as stated in the Refund & Cancellation Policy.

18.2 We may suspend or terminate your Account, in whole or in part, if (a) you materially breach these Terms, (b) you attempt to circumvent billing or access controls, or (c) we are required to do so by law or by a payment network or processor.

18.3 Upon termination, your right to access the Service ceases. We will make Customer Data available for export for a period of thirty (30) days after termination, after which we may delete it, subject to retention obligations described in the Privacy Policy and Data Processing Addendum.

19. Changes to These Terms and to the Service

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least thirty (30) days before they take effect. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.

20. Governing Law and Disputes

20.1 These Terms are governed by the laws of Thailand, without regard to conflict-of-laws principles.

20.2 Any dispute arising out of or relating to these Terms will be subject to the exclusive jurisdiction of the courts of Chonburi, Thailand, except where mandatory law provides otherwise.

21. General

21.1 Entire agreement. These Terms, together with the Privacy Policy, Cookie Policy, Refund & Cancellation Policy, and Data Processing Addendum, constitute the entire agreement between you and us regarding the Service.

21.2 Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.

21.3 Severability. If any provision is held unenforceable, the remaining provisions remain in full force.

21.4 Force majeure. Neither party is liable for delay or failure to perform due to causes beyond its reasonable control.

21.5 Language. These Terms may be provided in multiple languages for convenience. In the event of conflict, the English version prevails.

21.6 No waiver. Failure to enforce any provision is not a waiver of the right to enforce it later.
